01 Acceptance
This End-User License Agreement (the "Agreement") is a legal contract between you ("you" or the "Licensee") and MyPDFWire ("we," "us," or the "Licensor") covering your installation and use of the MyPDFWire desktop application and any related materials (collectively, the "Software").
By downloading, installing, copying, or using the Software you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.
02 License Grant
Subject to your compliance with this Agreement, we grant you a personal, non-exclusive, non-transferable, revocable, royalty-free license to install and use the Software on devices that you own or control, for both personal and internal business purposes.
You may make a reasonable number of backup copies of the installer, provided each copy retains all proprietary notices.
03 Restrictions
Except as expressly permitted by this Agreement or applicable law, you must not:
- Sell, rent, lease, sublicense, distribute, or transfer the Software to any third party.
- Modify, adapt, translate, or create derivative works based on the Software.
- Reverse-engineer, decompile, or disassemble the Software, except to the extent expressly permitted by applicable law notwithstanding this limitation.
- Remove or alter any proprietary notices or labels on the Software.
- Use the Software to build a competing product or service.
- Use the Software in violation of any applicable law or regulation.
04 Ownership
The Software is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual-property rights. No rights are granted to you other than those expressly stated in this Agreement.
05 Your Documents
The Software converts .docx documents to PDF on your device. We do not receive, upload, store, or transmit the contents of your documents as part of the conversion process. You retain all rights in the input files you convert and the PDFs you produce.
06 Updates
The Software may check for and install updates from time to time to improve stability, security, and functionality. Updates may add, modify, or remove features. This Agreement governs all updates unless an update is accompanied by a separate license, which will then apply to that update.
07 Third-Party Components
The Software incorporates certain open-source and third-party components, each licensed under its own terms. A list of components and their licenses is included with the Software. In the event of a conflict between this Agreement and an open-source license that requires otherwise, the open-source license governs that component only.
08 Termination
This Agreement is effective until terminated. It terminates automatically if you breach any term. Upon termination you must cease all use and remove the Software from your devices. Sections 4, 9, 10, 12, and any clauses that by their nature should survive, will survive termination.
09 Disclaimer of Warranty
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT EVERY DOCUMENT WILL BE CONVERTED WITH PERFECT FIDELITY.
10 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THIS AGREEMENT. OUR AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED USD $50 OR THE AMOUNT YOU PAID FOR THE SOFTWARE (WHICHEVER IS GREATER). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS OF LIABILITY, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
11 Export & Compliance
You agree to comply with all export-control and sanctions laws applicable to the Software, and to not use the Software in jurisdictions where doing so would violate such laws.
12 Governing Law
This Agreement is governed by the laws of the State of Delaware, United States of America, without regard to its conflict-of-law principles. The exclusive venue for any dispute arising out of this Agreement is the state or federal courts located in New Castle County, Delaware, unless mandatory consumer law gives you the right to file suit elsewhere.
13 Changes
We may update this Agreement from time to time. Material changes will be reflected by updating the "Effective" date at the top of this page. Continued use of the Software after the new effective date constitutes acceptance of the updated Agreement.
